Terms & Conditions

We reserve the right to share your account information, including name, email, username, and billing information, with our third-party vendors if support is needed to assist us with managing your account.

By becoming a subscriber of this site, you are agreeing to abide by our contract, which is as follows:

Introduction

We'll always do our best to fulfill your needs and meet your expectations, but it's important to have things written down so that we both know what's what, who should do what, when, and what will happen if something goes wrong. You won't find any complicated legal terms or long passages of unreadable text in this contract. We do not want to trick you into signing something you might regret later. We want what's best for both parties, now and in the future.

In a Nutshell

You are hiring HipBadger Sites to build your business a new website for the agreed-upon price for 24 months. After 24 months, your contractual obligation is completed, at which time you will roll into our month-to-month management plan, or you may take your website and leave HipBadger Sites. If you choose not to cancel after 24 months, you will continue to use our services monthly for the investment of $175 per month, which can be canceled anytime.

What do Both Parties Agree to

The Client

You have the authority to enter into this contract on behalf of yourself, your company, or your organization. You'll give us the assets and information we tell you we need to complete the project. You'll do this when we ask and provide it in the formats we ask for. You'll review our work and provide feedback and approval promptly, too. Deadlines work two ways, so you'll also be bound to keep the project moving speedily. You also agree to stick to the payment schedule set out by the terms of the subscription billing.

HipBadger Sites

We have the experience and ability to do everything we've agreed with you, and we'll do it all in a professional and timely manner. We'll endeavor to meet every deadline that's set, and on top of that, we'll maintain the confidentiality of everything you give us.

Project Timeline

Our typical development time is approximately two to six weeks. This timeframe may fluctuate; please consult your project manager for a specific deadline. Add-on services may add up to two (2) business days onto our project timeline per add-on item. Since HipBadger will build you a custom website, we ask that you allow up to 6 weeks. Typical correspondence from you, the client, should be at most one business day. Any wait time beyond this may add time to the launch project. Our development time accounts for our deliverability but needs to account for additional time added to the project by the client requesting revisions or lack of communication. These extenuating factors will delay your project timeframe.

What Will be Included in the Website Build

Your selected HipBadger Sites package comes with a predetermined amount of pages. It will contain (additional pages and content writing are an extra fee) a basic level of on-page SEO, image optimization, mobile/tablet optimization, managed website maintenance, hosting & security packages, spam protection, and custom contact forms.

Revisions

You will be allowed up to two (2) design revision rounds. This allows you to request design changes. If you purchased an upgraded Wireframe Design Round, this will not be counted against your total design revision rounds. Once the initial design concept (the home page) is approved, the rest of the website will be built with the same design and functionality. Any revisions requested after the initial design concept has been accepted will invoke a fee which will be determined by the scope and complexity that is requested. We will determine the scope and provide you a quote necessary for the requested revision, to which you may approve or request changes to the scope in order to alter the quote. Website packages can be templated or bespoke (custom). Template sites may not have design revisions, the design is already set in stone. You may, however, request changes to media, colors, fonts, or content but you may not request changes to the design layout.

What Will be Included in the Monthly Maintenance

Premium web hosting, security certificates (HTTPS), 3rd party daily backups, uptime monitoring, automated security checks, automated performance checks, supplemental code updates, theme updates, core website updates, unlimited content edits, unlimited support available when you need it! Our monthly maintenance plan is provided to you absolutely for free for the first 24 months!

Tech Support

You can request updates to your website anytime by visiting your account and navigating to the support area, or you may visit https://hey.hipbadger.com/support/. If you are experiencing any difficulties with your website, you may reach out to your project manager for your account. All tech support needed to keep your website running smoothly is included for free at no extra cost. We will respond to your email promptly; please allow up to 2 business days for us to address any technical issues.

Communication

You will have a go-to team member that will be your primary line of communication. During the site development, you're assigned project manager will be your primary line of communication. After your website is live, your primary contact for updates to your website will be your client success manager. Although other team members may at times reach out to you, that doesn't mean they are now your line of communication; it's important to follow communication guidelines with the prescribed team members assigned to you for the best outcome. If you do not follow our communication guidelines, there may be delays or breakdowns in communication. Please communicate with your assigned team members only. You are expected to communicate with us via email and in a timely manner. If you request other means of communication, we may be able to facilitate those requests, but we do not guarantee it. Email is our only communication from HipBadger Sites with you, our client. If you would like to speak on the phone, you may request a scheduled call with your assigned team member; email them asking for their call schedule.

Legalities

We'll conduct our work following good industry practice and at the standard expected from a qualified person with relevant experience. That said, we can't guarantee that our work will be error-free. So, we can't be liable to you or any third party for damages, including lost profits, lost savings, or other incidental, consequential, or special damages, even if you've advised us of them. Your liability to us will also be limited to the number of fees payable under this contract, and you won't be liable to us or any third party for damages, including lost profits, lost savings, or other incidental, consequential, or special damages, even if we've advised you of them.

Website Ownership

While your website is being paid off, you have a complete and unrestricted license to use the website in any way you wish. You will be given ownership of the website's master files once your website is fully paid off. Once your website is fully paid off, you will continue to have an unrestricted license to use the website in any way you wish and complete control of any website files. We maintain the right and ownership to utilize any designs and images we create for your project to be used in our other projects.

Site Access

HipBadger Sites allows customers to have personal access to their website and the ability to grant access to third-party vendors.

We do not accept responsibility for any issues related to changes made to the website other than changes made directly by an employee of HipBadger Sites. We may be able to fix issues relating to the website resulting from actions made by clients or third-party vendors, but we do not guarantee any results or timeframes. We may charge a fee to resolve issues that are a direct result of clients or third-party vendors editing the website. All HipBadger Sites websites must be hosted on HipBadger Sites' servers during the 24-month payment plan.

Displaying Our Work

We reserve the right to display all aspects of our creative work, including screenshots, work-in-progress designs, the completed project on our portfolio, and articles on websites or other media. We are proud of our work and reserve the right to apply the text web design by HipBadger Sites (or any combination of text citing HipBadger Sites) on your website. Should you wish to remove the credit, a fee of $125 applies. Removing our name does not mean surrendering our design credit to any other party. Without our consent, you agree that "web design by HipBadger Sites" (or any combination of text citing HipBadger Sites) will be visibly displayed on your site, acknowledging design credit.

Scope Of Work

The scope of work will be determined by which package you choose. If you add more pages, content writing services, or any other services not previously agreed upon at the beginning of the website project, these add-ons will be subject to additional costs, and the project timeline will be extended.

Requirements of the Client

After you select and purchase your website subscription, you will be able to submit your company's information to us in our onboarding form and submit all of the media that you wish to have on your website.

Please submit all images and videos to us at one time; please do not send media to us in pieces over a period of time, but rather, please deliver everything to us at once. We will not begin working on your project until your onboarding form is submitted and your media has been delivered.

Content Writing Services

Content writing is available as an add-on service for your HipBadger Site. We will discuss which pages you require and complete all content writing needs for you if you purchase our content writing services. Special requests for content must be made upfront; revisions for technical reasons not explained before our content team developing the copywriting are not permissible. If this situation arises, you must make the content revisions necessary in a Google Doc (online document) and then deliver the revised content to us. You may not reject our content writing for anything not previously disclosed via email before hiring us for content writing services. If you are unsatisfied with our content writing for discussed matters, we will gladly revise the content for you. You need only to let us know which areas you are dissatisfied with and email those to your project manager and our content team will make the necessary revisions.

Content Submitted By The Client

If you decline to use our content writing services, you will be responsible for delivering all necessary content writing for your website. You will be provided access to the website, or a site wireframe with content guidelines, where you can see all the areas you need to provide writing for. You will be responsible for providing all the necessary content for your website in one document. This can be delivered via a Microsoft Word Doc or a Google Doc. We will not retrieve content from your old website or elsewhere online on your behalf; you must provide all necessary content writing on your own or hire us to do new content writing for you. You must provide all content in one document for the entire site and email this to your project manager. If your content is not completed, please do not send pieces of it at various times because it will not be accepted; it must all be delivered at one time in one document.

Launching Your Website

We will seek to get your website online as soon as possible. Sometimes, we will launch a website even before it is 100% completed because your new website is an asset and cannot serve your business unless it is live. For this reason, we seek to get your site online immediately. If your project has content writing on at least the home page, we will pursue launching your website and then complete the rest of the content or edits that you may request post-launch. If you object to this policy, it is your responsibility to email us at support@hipbadger.com, notifying us that you would like to launch your website only after you have authorized us to do so at a time of your choosing.

Payment Schedule

We're sure you understand how important it is as a small business that you keep up with your automatic billing. Your credit card will be billed monthly for the amount agreed upon once per month for a period of 24 months through our billing system. Once the 24-month period has ended, your service payment will automatically drop to $175 per month. This ongoing service is month-to-month and can be canceled at any time once your 24-month commitment is completed.

Early Termination

Any contracts terminated before the final 24-month agreement will be given a cancellation fee of 50% of your remaining balance, and your website will be terminated. If you wish to cancel your contract and take your website to another provider, the remaining balance of your contract must be paid in full, then we will package up your website files and transfer them over to you. If you cancel your billing before your 24-month commitment is completed or dispute any monthly payment to HipBadger Sites, this will voluntarily cancel your contract with HipBadger Sites, and the early termination clause will be invoked immediately.

Late Payments

We understand you may have a late payment due to insufficient funds or an expired credit card. We will email you to remind you that your payment was missed. Any payments 30 days past due will incur a $100 late fee.

Delinquent and Defaulted Payments

If you are delinquent on your billing for more than one month, your website will be automatically frozen. If you have three months of delinquent payments, your billing contract will be considered to have defaulted, and the full balance of your remaining contract will be due to get your website back online.

Moving Forward After the Initial Contract is Completed

Once your contract is up, your monthly billing will automatically drop to the base minimum of $175 per month. This is our month-to-month ongoing website hosting and maintenance cost. If you wish to cancel your billing after the 24-month period, you are free to do so. If you choose not to cancel, you will automatically continue in our month-to-month ongoing website maintenance plan. Here are the two possible actions you may choose after your 24-month plan is completed.

Option 1.

No action is necessary; you will automatically move to our month-to-month maintenance plan. From here, you can enjoy the benefits of having peace of mind, knowing that we will actively host and maintain your website for $175 per month. You will automatically roll into our month-to-month service after 24 months and can cancel at any time.

Option 2.

Cancel all services with HipBadger Sites. We can package up your website files and deliver them to you to host, manage, and maintain your own website moving forward. Once your contract is up, you will have a grace period of 2 weeks to move your website to another hosting provider if you choose.

30-Day Money Back Guarantee

We guarantee your purchase for 30 days. If you wish to cancel, just let us know, and we will cancel your contract. Your 30-day warranty begins the day you sign this contract or begin paying, whichever is first.

We Reserve the Right to Refuse Service to Anyone

We reserve the right to at any time sever our contract with any client for any reason we deem reasonable. This is extremely rare, but if our company decides that it is not fruitful for either party to remain in contact with the other, we reserve the right to break that contract. If HipBadger Sites ends your contract, you are not liable for any cancellation fees, and you are free from all clauses within this contract. If we decide to end our agreement, we will cancel your billing and shut off your website. If you wish to take ownership of your website, you may do so by paying off the remainder of your contract; we do not in any way wish to keep you from having your website. If you do pay off the remaining balance of your website we will then package up the website files and deliver them over to you to host and manage thereafter.

Governing Law / Forum

This Agreement shall be construed under the internal laws of the State of California, without regard to conflict of laws rules. The venue shall be in a court of competent jurisdiction in the State of California, Los Angeles County, and both parties expressly consent to jurisdiction in such courts.

Attorney Fees

In any legal action between the parties concerning this Agreement, the prevailing party shall be entitled to recover reasonable attorney's fees and costs.

Indemnity

Each party agrees to defend, indemnify, and hold harmless the other party and its officers, directors, agents, affiliates, distributors, representatives, and employees from any third-party claims, demands, liabilities, costs, and expenses, including reasonable attorney's fees, costs, and expenses resulting from the indemnifying party's material breach of any duty, representation, or warranty under this Agreement.

Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining portions of this Agreement shall remain in full force and effect and shall be construed to best effectuate the original intent and purpose of this Agreement.

Introduction

Our Review Funnels Services are very diverse, so sometimes additional terms or product requirements (including age requirements) may apply. Additional terms will be available with the relevant Services, and those additional terms become part of your agreement with us if you use those Services.

Using our services

You must follow any policies made available to you within the Services.

Don't misuse our Services. For example, don't interfere with our Services or try to access them using a method other than the interface and the instructions that we provide. You may use our Services only as permitted by law, including applicable export and re-export control laws and regulations. We may suspend or stop providing our Services to you if you do not comply with our terms or policies or if we are investigating suspected misconduct.

Using our Review Funnel Pro Services does not give you ownership of any intellectual property rights in our Services or the content you access. You may not use content from our Services unless you obtain permission from its owner or are otherwise permitted by law. These terms do not grant you the right to use any branding or logos used in our Services. Don't remove, obscure, or alter any legal notices displayed in or along with our Services.

Data

You must follow any policies made available to you within the Review Funnel Pro Services.

Privacy and copyright protection

HipBadger's privacy policies explain how we treat your personal data and protect your privacy when you use our Services. By using our Services, you agree that HipBadger can use such data in accordance with our privacy policies.

We respond to notices of alleged copyright infringement and terminate accounts of repeat infringers according to the process set out in the U.S. Digital Millennium Copyright Act.

We provide information to help copyright holders manage their intellectual property online. If you think somebody is violating your copyrights and want to notify us, you can find information about submitting notices and HipBadger's policy about responding to notices in our Help Center.

Your content in our services

Some of our Services allow you to upload, submit, store, send or receive content. You retain ownership of any intellectual property rights that you hold in that content. In short, what belongs to you stays yours.

When you upload, submit, store, send or receive content to or through our Services, you give HipBadger (and those we work with) a worldwide license to use, host, store, reproduce, modify, create derivative works (such as those resulting from translations, adaptations or other changes we make so that your content works better with our Services), communicate, publish, publicly perform, publicly display and distribute such content. The rights you grant in this license are for the limited purpose of operating, promoting, and improving our Review Funnel Pro Services, and to develop new ones. This license continues even if you stop using our Services (for example, for a business listing you have added to HipBadger). Some Services may offer you ways to access and remove content that has been provided to that Service. Also, in some of our Services, there are terms or settings that narrow the scope of our use of the content submitted in those Services. Make sure you have the necessary rights to grant us this license for any content that you submit to our Services.

Security

Some of our Services allow you to upload, submit, store, send or receive content. You retain ownership of any intellectual property rights that you hold in that content. In short, what belongs to you stays yours.

Search Engine Optimization Services

HipBadger will provide Client with Search Engine Optimization Services (hereinafter referred to as "SEO") as described in this agreement. HipBadger will use specific keywords and/or phrases to improve the search engine ranking of, and/or position the contents of the Client's website.

Campaign timeline will commense upon completion of any campaign purchase made by the client. There may be an onboarding fee to help ensure smooth & successful launch of the SEO Campaign. The campaign fee (monthly retainer or subscription fee) will be paid prior to work product delivery. Any campaign payments received after the due date are subject to a 1.5% late fee. All campaigns are on a month-to-month retainer and client may cancel at any time. All cancellations require 30 days notice.

HipBadger's SEO services are intended to serve two main purposes:

  • To provide the Client with increased exposure in search engines, and
  • To drive targeted online traffic to the site.

For the term of the agreement, HipBadger's SEO Services will include (but are not limited to):

  • Keyword Research – Researching keywords and phrases to select appropriate, relevant search terms
  • On-page (on the website) SEO – Editing and/or optimization of text for various html tags, meta data, page titles, and page text as necessary
  • Technical Optimizations – Analysis and recommendations on optimal website structure, navigation, code, etc. for best SEO purposes
  • Media Optimizations – Optimization of all media elements contained within your website (e.g. images, audio, and video)
  • Schema Optimizations – Deploying appropriate schema formatting where beneficial toward campaign goals
  • HipBadger Reporting Suite – If your package selected includes the HipBadger Reporting Suite, client will enjoy access to an intuitive reporting suite where opportunities to review campaign and traffic statistics will be presented. The reporting suite includes traffic and ranking reports for your website showing rankings in the major search engines.

Available add-ons include (but are not limited to):

  • Backlink Building Campaign – Obtaining "back links" from other industry/related websites and directories in order to generate link popularity and traffic through guest articles, branded web 2.0s, and article mentions.
  • Content Marketing Campaign – Strategic design of optimized blog posts and/or landing pages, top-of-funnel content assets such as PDF downloads, videos, and industry relevant guides.
  • Conversion Rate Optimization – Improving the rate of how many site visitors convert into a pre-determined 'goal'.

All pricing is effective as of July 15, 2026. Add-on pricing is subject to change.

1. Imperatives

For the purposes of receiving professional SEO services, Client agrees to provide the following:

  • Administrative/backend access to the website for analysis of content and structure.
  • Permission to make changes for the purpose of optimization, and to communicate directly with any third parties, e.g., your web designer, if necessary.
  • Unlimited access to existing website traffic statistics for analysis and tracking purposes.
  • A(n) branded email address for the purpose of requesting links (e.g. support@hipbadger.com).
  • Authorization to use client pictures, logos, trademarks, website images, pamphlets, content, etc., for any use as deemed necessary by HipBadger for SEO purposes. The Client guarantees any elements of text, graphics, photos, designs, trademarks, or other artwork provided to HipBadger for inclusion on the website above are owned by the Client, or that the Client has received permission from the rightful owner(s) to use each of the elements, and will hold harmless, protect, and defend HipBadger and its subcontractors from any liability or suit arising from the use of such elements.
  • If Client's site is lacking in textual content, Client will provide additional text content in electronic format for the purpose of creating additional or richer web pages. HipBadger can create site content at additional cost to the Client. If Client is interested in purchasing content from HipBadger, please contact HipBadger for a cost estimate.
  • HipBadger is not responsible for changes made to the website by other parties that adversely affect the search engine rankings of the Client's website (e.g., Client/webmaster uploading over work already provided/optimized). The Client will be charged an additional fee for re-constructing content, based on the hourly rate of $175 per hour.

Fees & Deliverables

Client must acknowledge the following with respect to SEO services: All fees are non-refundable. All fees, services, documents, recommendations, and reports are confidential. HipBadger has no control over the policies of search engines with respect to the type of sites and/or content that they accept now or in the future. The Client's website may be excluded from any directory or search engine at any time at the sole discretion of the search engine or directory.

Due to the competitiveness of some keywords/phrases, ongoing changes in search engine ranking algorithms, and other competitive factors, HipBadger does not guarantee #1 positions or consistent top 10 positions for any particular keyword, phrase, or search term. Google has been known to hinder the rankings of new websites (or pages) until they have proven their viability to exist for more than "x" amount of time. This is referred to as the "The Sandbox." HipBadger assumes no liability for ranking/traffic/indexing issues related to Google Sandbox penalties.

Occasionally, search engines will drop listings for no apparent or predictable reason. Often, the listing will reappear without any additional SEO. Should a listing be dropped during the SEO campaign and does not reappear within 30 days of campaign completion, HipBadger will re-optimize the website/page based on the current policies of the search engine in question. Some search directories offer expedited listing services for a fee. If the Client wishes to engage in said expedited listing services (e.g., paid directories), the Client is responsible for all paid-for inclusion or expedited service fees. HipBadger can offer a list of expedited listing services upon request.

Linking to "bad neighborhoods" or getting links from "link farms" can seriously damage all SEO efforts. HipBadger does not assume liability for the Client's choice to link to or obtain a link from any particular website without prior consultation.

Confidential Information

Any information supplied by one party to the other marked as "Confidential" must be used only for the purposes of this agreement and must not be disclosed to other parties without the discloser's written consent. This does not apply to information that is publicly available or that the recipient already properly knew, developed or received independently. When the agreement terminates, Freelancer must return to Client any materials containing confidential information. Confidentiality obligations survive termination of this agreement.

Independent Contractor Relationship

Freelancer is an independent contractor, not an employee of Client. Freelancer is solely responsible for all taxes, withholdings, insurance, and any other obligations that may apply to an independent contractor.

Limited Warranty

FREELANCER WARRANTS THAT NO OBLIGATION TO A THIRD PARTY PROHIBITS FREELANCER FROM ENTERING INTO THIS AGREEMENT, AND THAT TO FREELANCER'S KNOWLEDGE, WORK PRODUCED UNDER THIS AGREEMENT WILL NOT VIOLATE THE INTELLECTUAL PROPERTY RIGHTS OF ANY THIRD PARTY.

Limitation of Liability

UNLESS A RESULT OF GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, THE LIABILITY OF EITHER PARTY TO THE OTHER FOR ANY TYPE OF DAMAGES SHALL BE LIMITED TO THE AMOUNT OF FREELANCER'S TOTAL FEES UNDER THIS AGREEMENT.

Termination

If either party materially breaches this agreement, the non-breaching party may terminate the agreement only by providing written notice of the breach to the breaching party. The breaching party shall have 5 days to cure the breach after receiving such notice. If the breaching party fails to cure the breach in that time, the agreement shall terminate except with respect to those obligations that are noted herein as surviving termination. If the agreement terminates for any reason other than a material uncured breach by Freelancer, then Freelancer is immediately entitled to any unpaid fees prorated for the portion of the work completed at the time of termination. The above payment obligation, and any payment obligations pending at termination, shall survive termination.

Miscellaneous

This agreement is between Client and Freelancer and neither is allowed to delegate, transfer or assign it to a third party without the written consent of the other. This is the parties' entire agreement on this matter, superseding all previous negotiations or agreements. It can only be changed by mutual written consent. The laws of the state of California govern this agreement and any disputes arising from it must be handled exclusively in courts in that state. The prevailing party in any dispute will be entitled to recover reasonable costs and attorneys' fees. Signing a copy of this agreement, physical or electronic, will have the same effect as signing an original.
